These terms apply to engineers and delivery partners (“Engineer”, “you”) who accept work through ITARCUS LLC (USA) or ITARCUS Ltd (UK), whichever company issues your work order (“ITARCUS”, “we”, “us”). They sit alongside any written engagement agreement or work order; if the two conflict, the work order applies to that job.
1. Status
You are an independent contractor, not an employee, worker, agent or partner of ITARCUS. You are responsible for your own tax, National Insurance or social contributions, and for any permits or right-to-work requirements.
2. Registration and vetting
You must give accurate information about your skills, certifications and experience. We may check identity, right to work, references, certifications and, where lawful and required by a client, background checks. We may decline or remove a registration at any time.
3. Work orders
Work is offered job by job. A job is only confirmed when you accept a work order that states the scope, location, schedule and rate. There is no guarantee of any minimum amount of work, and you are free to decline jobs.
4. Standards of work
- Carry out work with reasonable skill and care, to the agreed scope and schedule
- Arrive on time, in suitable attire, and follow client site rules and health and safety instructions
- Tell us immediately about delays, incidents, damage or anything that may affect the job
- Never subcontract or send a replacement without our written approval
- Behave professionally and treat everyone with respect; discrimination and harassment are not tolerated
5. Confidentiality and data protection
You must keep confidential all client, ITARCUS and third-party information you see, and use it only for the job. Do not copy, remove or keep client data or credentials. Follow our data protection instructions and report any suspected data breach to us within 24 hours. This duty continues after the job ends.
6. Equipment and security
Use only approved tools and equipment. Look after any client or ITARCUS equipment, assets and access credentials you are given, and return them when the job is done. Do not install unlicensed software or bypass security controls.
7. Insurance
You must hold, and show us on request, suitable insurance for your work, normally public liability and professional indemnity, at the level stated in the work order or required by the client.
8. Fees and payment
We pay the rate in the accepted work order on receipt of a correct invoice and any required job sign-off, in line with the payment terms in that work order. Expenses are only payable if agreed in advance in writing. You are responsible for your own tax on payments.
9. Intellectual property
Anything you create in the course of a job for a client belongs to the client or to us, as set out in the work order, and you assign any rights needed. You keep ownership of your pre-existing tools and know-how.
10. Non-solicitation
While you work with us and for 12 months afterwards, you must not directly solicit our clients for the same services you met them through, without our written agreement.
11. Liability
Nothing limits liability that cannot be limited by law, including for death or personal injury caused by negligence or for fraud. Otherwise, each party’s liability is limited to what is reasonable and, unless the work order says differently, to the fees payable for the job concerned. You are responsible for loss or damage caused by your own negligence or breach.
12. Ending the relationship
Either of us can end this relationship at any time by written notice. We may end it immediately for serious misconduct, breach of confidentiality, safety or security breach, or loss of required insurance or certification. Obligations that are meant to continue, such as confidentiality, still apply.
13. Governing law
These terms are governed by the laws of England and Wales for work issued by ITARCUS Ltd, and by the laws of the State of Texas for work issued by ITARCUS LLC, unless your work order says otherwise. The courts of that jurisdiction have exclusive jurisdiction.
14. Changes and contact
We may update these terms and will post the latest version here. Questions? Email info@itarcus.com. To join our network, contact us.
